1. Acceptance of Terms

By downloading, installing, accessing, or using the Magic Eden Wallet software application ("Wallet," "Software," or "Service"), you ("User," "you," or "your") agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Barcom Trading, Inc. / Euclid Labs ("Company," "we," "us," or "our").

2. Eligibility

You must be at least 18 years of age (or the legal age of majority in your jurisdiction) to use the Service. By using the Service, you represent and warrant that you meet this requirement, that you have the legal capacity to enter into this agreement, and that your use of the Service does not violate any applicable laws or regulations in your jurisdiction.

3. Nature of the Service

Magic Eden Wallet is a non-custodial digital asset wallet. We do not custody, control, access, or store your private keys, seed phrases, or digital assets. You are solely responsible for the security of your private keys and seed phrase. Loss of your seed phrase will result in permanent and irrecoverable loss of access to your assets. We have no ability to recover lost seed phrases or private keys under any circumstances.

4. User Responsibilities

You are solely responsible for: (a) maintaining the confidentiality and security of your seed phrase, private keys, and wallet credentials; (b) all transactions conducted through your wallet; (c) compliance with all applicable laws and regulations in your jurisdiction, including but not limited to tax, anti-money laundering (AML), and know-your-customer (KYC) requirements; (d) ensuring that your use of the Service does not violate any third-party rights; and (e) any loss resulting from unauthorized access to your wallet due to your failure to maintain adequate security.

5. Prohibited Activities

You agree not to use the Service for: money laundering, fraud, or financing of terrorism; circumventing applicable laws or regulations; exploiting vulnerabilities in the Service; impersonating any person or entity; or engaging in any activity that violates these Terms or applicable law. We reserve the right to terminate access for violations.

6. Fees and Network Costs

The Wallet software is provided free of charge. However, blockchain transactions require network fees (gas fees, miner fees, etc.) paid to network validators, not to us. These fees fluctuate based on network demand and are beyond our control. Third-party services integrated within the Wallet (including Magic Eden marketplace) may charge their own fees.

7. Third-Party Services

The Wallet integrates with third-party services including Magic Eden marketplace, Blowfish transaction scanning, and other platforms. Your use of such services is governed by their respective terms of service and privacy policies. We are not responsible for the acts, omissions, or policies of any third party.

8. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR DIGITAL ASSETS, ARISING FROM YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY SHALL NOT EXCEED $100 USD.

10. Indemnification

You agree to indemnify, defend, and hold harmless the Company and its officers, directors, employees, agents, and successors from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of a third party.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes shall be resolved through binding arbitration under the rules of the American Arbitration Association.

12. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be notified via the Service or email. Continued use of the Service after such changes constitutes your acceptance of the new Terms.

We may collect: (a) Usage Data — anonymized analytics about feature usage, crash reports, and app performance to improve the Service; (b) Device Information — device type, operating system, and browser version for compatibility purposes; (c) Wallet Addresses — your public wallet addresses to display balance and transaction data fetched from public blockchains; (d) Support Communications — if you contact us for support, we collect the information you provide.

4. How We Use Your Information

We use collected information to: operate and improve the Wallet; diagnose technical issues; comply with legal obligations; prevent fraud and abuse; and communicate service updates when you opt in.

5. Third-Party Data Sharing

We do not sell your personal data. We may share data with: blockchain network nodes (public transaction data); Blowfish (transaction simulation data for security scanning); analytics providers under strict data processing agreements; and law enforcement when legally required.

6. Data Retention

We retain anonymized analytics data for up to 12 months. Support communications are retained for up to 2 years. You may request deletion of any personal data we hold by contacting [email protected].

7. Your Rights

2. Volatility Risk

Digital assets including NFTs, cryptocurrencies, and tokens are highly volatile. Their value can decrease significantly or become worthless in a short period. Past performance is not indicative of future results. You may lose some or all of the value of your digital assets.

3. Technology Risk

Blockchain networks and smart contracts may contain bugs, vulnerabilities, or be subject to attacks. Software upgrades, hard forks, or other changes to underlying blockchain protocols may adversely affect the functionality of the Wallet or the value of your assets.

4. Irreversibility of Transactions

Blockchain transactions are generally irreversible once confirmed. Erroneous transactions — including sending assets to incorrect addresses — cannot be reversed or recovered. You are solely responsible for verifying all transaction details before signing and submitting.

5. Self-Custody Risk

Magic Eden Wallet is a non-custodial wallet. You are solely responsible for securing your private keys and seed phrase. If you lose your seed phrase, your assets are permanently and irrecoverably lost. We have no ability to restore access to your wallet under any circumstances.

6. Regulatory Risk

The regulatory status of digital assets and blockchain technology is uncertain and varies by jurisdiction. Laws and regulations may change in ways that adversely affect the ability to use, transfer, or hold digital assets. You are responsible for compliance with all applicable laws in your jurisdiction.

7. NFT-Specific Risks

NFTs may have no intrinsic value. Liquidity for NFTs can be extremely limited. NFT marketplaces may be subject to manipulation. The metadata, artwork, or content associated with an NFT may become inaccessible if the hosting service goes offline. Smart contract risks in NFT collections may result in loss of assets.

8. Ordinals and BRC-20 Risks

Bitcoin Ordinals and BRC-20 tokens are emerging technologies with limited track records. Protocol changes to Bitcoin may affect Ordinals functionality. Inscription data permanence depends on Bitcoin node behavior. BRC-20 token standards are not officially endorsed by the Bitcoin protocol.

The Wallet integrates third-party services. We are not responsible for any losses arising from the failure, insolvency, or misconduct of third-party service providers including marketplaces, bridges, or liquidity providers.
